He has acted as lead counsel to effect purchases, sales, and mergers and acquisitions in a multitude of industries including franchise, healthcare, dental, beauty product, beverages, food services and catering, commercial and residential real estate.

Miguel routinely advises and negotiates on behalf of business and real estate owners on commercial and residential purchase and sale agreements, leases, and related diligence and access issues. On the transactional side he also advises on 1031 exchanges. As a litigator, Miguel has represented real estate developers and property owners in land, easement, title, financing, contract, sober-living facility, homeowners associations, and landlord-tenant disputes. He also has experience litigating construction defect lawsuits. Miguel has assisted a Fortune 500 national bank recover over eight figures in loan loss recovery related to repurchase demands, loan default, and REO loss.

Miguel acts as the “go to” attorney for numerous businesses as Outside General Counsel (OGC). Often times, Miguel is able to offer clients access to his services under a retainer, or reduced fee arrangement. As OGC, Miguel fosters consistency and regularity upon which long-term working relationships are built. Fostering these relationships, Miguel is “up to speed” with business operations, personnel, management, and history. Routine and typical OGC legal issues involve contracts, corporate governance, fundraising/financing, and employment. Miguel has acted as lead counsel in state and federal lawsuits on subject matters including tort, real and personal property, breach of contract, partnership disputes, personal injury, intellectual property and technology, financial services and banking, insurance, and real property development. He also routinely acts as counsel before administrative settings (ALJ), in state and local settings.
